Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Cuedin Inc., a company registered in Harrisonburg, Virginia, USA ("Cuedin," "we," "our," or "us"). By using our platform and services, you ("Customer") agree to be bound by these Terms. Cuedin may update these Terms from time to time. We reserve the right to upgrade, update, or discontinue any aspect or feature of a Service in whole or in part; however, if Cuedin discontinues a Service during the term of an ordering document, we will provide the Customer with an alternative or replacement service.

1. Talent Services

1.1. General Use

Customers using Cuedin's Talent Services, including related services and information about members, may only do so to influence and recruit individuals for employment. If you are a Provider, meaning an institution, school, organization, staffing agency, or employer, you may use the platform to connect your candidates, students, or job seekers to employment opportunities through your program. YOU MUST INFORM Cuedin of your classification as a Provider before purchasing access to the Program portal and notify us promptly of any changes. Provider purchases are governed by the master subscription agreement between Cuedin and the Provider. Breach of this section constitutes a material breach of this Agreement.

1.2. Starter Package

Customers using the Starter Package ("SP") may only use the service to influence and recruit individuals for employment within their organization. Only employers may use the Starter Package to engage and cultivate talent. Misuse of this service is considered a material breach of this Agreement.

1.3. Partners Package

Customers using the Partners Package may only use the service to influence and recruit individuals for employment. This package includes features like live sessions where users can engage with employers. Employers must adhere to section 1.5 when using these features. Misuse of this service is considered a material breach of this Agreement.

1.4. Enterprise Package

Customers using the Enterprise Package may only use the service to recruit individuals for employment. This package includes professional services such as video shooting, editing, and consulting. Employers must follow section 1.5 when presenting or engaging with users on our platform. Misuse of this service is considered a material breach of this Agreement.

1.5. Job Opportunities

Cuedin’s Job Opportunities ("Opportunities") service allows customers to post job openings to attract candidates. Each posting is limited to one job opportunity. Customers are responsible for the accuracy and legality of their postings. Cuedin reserves the right to remove postings that violate these terms. Customers agree not to resell or transfer access to the Opportunities service. Misuse of this service is considered a material breach of this Agreement.

1.6. Career Media

All media linked or uploaded to the Cuedin platform must comply with the standards outlined in section 1.5. Failure to comply may result in account deactivation or termination.

1.7. Applicants

The Applicants tab is a hiring platform that enables customers to manage candidates in one place. Customers are responsible for providing candidate data in a format compatible with the platform and ensuring they have necessary consents for data use. Cuedin disclaims liability for implementation issues.

2. Insights Services

2.1. Custom Insights & Analytics Reports

Cuedin may provide custom insights and analytics reports derived from aggregated member data. These reports are considered delivered when sent to the customer. Cuedin retains ownership of the reports and grants customers a non-exclusive license for non-commercial use. Customers may not publish or share these reports externally without Cuedin's written consent.

2.2. Talent Insights

Cuedin’s Talent Insights ("LTI") Service provides real-time access to aggregated member data. Cuedin retains ownership of all content included in the LTI Service and disclaims liability regarding the quality or accuracy of the data. Customers may use the data internally but may not share, resell, or monetize it without Cuedin’s consent.

3. Talent Media Services

3.1. General

Customers authorize Cuedin to place advertisements ("Media") containing customer-provided materials on Cuedin websites and third-party sites. Customers must obtain necessary rights for these materials. Cuedin reserves the right to reject or remove Media that do not comply with our policies or applicable laws. Cuedin’s measurements are definitive for calculating fees, and the company makes no guarantees regarding the distribution or results of Media.

4. Definitions

• Administration: Sending a survey to a group of respondents.
• Affiliate: An entity controlling, controlled by, or under common control with a party.
• Authorized User: An employee of a customer granted access to the platform.
• Maximum Respondents: The maximum number of survey respondents that may be contacted without incurring additional fees.
• Personal Data: Information that can identify or locate an individual.
• Premium Services: Synonymous with SaaS services or subscription services.
• Sensitive Data: Data classified under applicable laws, such as health or financial information.
• Survey: Any survey presented through Cuedin’s services.
• Survey Respondent: An employee or contractor who receives a survey.
• Users: Collectively, authorized users and survey respondents.

5. Data Usage and Transfer

5.1. General Data Use

Cuedin may use aggregated data to improve our services. Customers must ensure appropriate notices and consents are in place for data collection, transfer, and processing.

5.2. Survey Data

Cuedin reserves the right to send surveys to users to improve our platform. Participation in these surveys is considered voluntary.

5.3. Account Archive

Customers may choose to archive their accounts, removing their profiles from the network. You can switch your profile to "Private" and opt-out of all notifications which is under settings in your profile.
